If you are using our Service on behalf of an educational institution, you represent that you have the authority to bind that institution to these Terms.

Service Availability: While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Service. Scheduled maintenance and updates may temporarily affect availability.

3. Eligibility & Registration

Eligibility Requirements

To use our Service, you must:

  • Be at least 18 years old, or have parental/guardian consent if under 18
  • Be affiliated with an educational institution or organization
  • Have the legal capacity to enter into binding agreements
  • Provide accurate and complete registration information
  • Comply with all applicable laws and regulations

Student Accounts

For students under 18:

  • Accounts must be created by authorized educators or administrators
  • We comply with COPPA and FERPA requirements for student privacy
  • Parents/guardians have the right to review and request deletion of student data
  • Students under 13 cannot create accounts independently

Full access to create content, manage students, and view analytics

Administrator Accounts

Complete institutional management and billing access

Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, engage in prohibited activities, or pose a security risk to our Service or other users.

5. Acceptable Use Policy

You may NOT use our Service to:

  • Upload harmful, illegal, or inappropriate content
  • Share content that violates intellectual property rights
  • Post discriminatory, harassing, or offensive material
  • Distribute malware, viruses, or malicious code

All platform features, software, AI models, and proprietary content are owned by Misa Solutions and protected by intellectual property laws. You may not:

  • Reverse engineer our AI algorithms or software
  • Use our trademarks, logos, or branding without permission
  • Create derivative works based on our platform

AI-Generated Content

Content generated by our AI during Socratic dialogues is provided for educational purposes. While you may use this content in your educational activities, we make no warranties about its accuracy, completeness, or suitability for any particular purpose.

Educational Use Rights

You have the right to use AI-generated content and your own content for educational purposes within your institution, including sharing with students and colleagues for legitimate educational activities.

7. Educational Use Guidelines

FERPA Compliance

We comply with the Family Educational Rights and Privacy Act (FERPA) and act as a service provider to educational institutions. We:

  • Use student data only for authorized educational purposes
  • Do not disclose student records without proper authorization
  • Maintain appropriate security safeguards for educational records
  • Allow institutions to control access to student data

Educator Responsibilities

As an educator using our Service, you agree to:

8. Payment & Billing

  • Free from bias, errors, or inappropriate suggestions

Educational Outcomes

While our Service is designed to support learning, we make no guarantees about specific educational outcomes, test scores, or academic improvements. Learning success depends on many factors beyond our platform.

10. Limitation of Liability

Liability Limitations

To the maximum extent permitted by law, our liability is limited as described below.

General Limitations

In no event shall Misa Solutions be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to or use of our servers
  • Interruption or cessation of transmission to or from the Service
  • Bugs, viruses, or other harmful code that may be transmitted

Monetary Limitations

Our total liability for all claims arising from or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $1,000, whichever is less.

Exceptions

These limitations do not apply to: (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be limited by applicable law.

11. Termination

Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through your account settings
  • Contacting customer support to request account closure
  • Following the cancellation procedures outlined in your agreement

Termination by Us

We may terminate or suspend your account immediately if you:

  • Violate these Terms of Service or our Acceptable Use Policy
  • Fail to pay fees when due (after reasonable notice and opportunity to cure)
  • Engage in fraudulent, illegal, or harmful activities
  • Pose a security risk to our systems or other users
  • Use the Service in ways that could damage our reputation or business

Effect of Termination

Upon termination:

  • • User accounts will be deactivated
  • • Data export options available for 30 days
  • • Outstanding fees remain due

Data Retention

  • • Content deletion within 90 days
  • • Backup retention for legal compliance
  • • Anonymized data may be retained

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.

For international users, we comply with applicable local laws while these Terms remain governed by Delaware law. If any provision of these Terms is deemed invalid or unenforceable under your local law, the remaining provisions will continue to be valid and enforceable.

Dispute Resolution

We encourage resolving disputes through direct communication. For formal disputes, both parties agree to attempt mediation before pursuing litigation.

13. Modifications

We may modify these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will:

  • Provide at least 30 days' advance notice via email or platform notification
  • Update the effective date at the top of these Terms
  • Highlight significant changes in our communication
  • Allow you to review the updated Terms before they take effect

Your continued use of the Service after the effective date of modified Terms constitutes acceptance of the changes. If you do not agree to the modified Terms, you may terminate your account before the changes take effect.
